Practice Focus
Alan’s practice is focused on transactional matters: business acquisitions and mergers; planning for next-generation internal ownership transfers; and debt and equity financings from institutional and non-institutional sources. He also has completed complex transactions for U.S. companies seeking to establish a presence outside of the United States, as well as with foreign companies commencing activities within the U.S. He has had extensive experience working with the New Hampshire Bureau of Securities Regulation in assuring client compliance with the New Hampshire Blue Sky Statute. His client base ranges from closely held, family-owned companies to those with extremely diverse shareholder ownership.

- Advised a Massachusetts-based software company in forming wholly-owned operating subsidiaries in India and Canada.
- Acted for a New Hampshire manufacturer of household products in establishing a Caribbean joint venture with a South American company.

- Served as U.S. counsel for a worldwide manufacturer and distributor of laboratory equipment based in the United Kingdom. In that capacity, he was lead U.S. counsel for its international acquisitions, working in close coordination with United Kingdom and European counsel, and advised on Hart-Scott-Rodino and Exxon-Florio considerations.
- Served as the lead U.S. counsel for a German company in the sale of a German product line to a U.S. purchaser.
- Represented a national commercial real estate developer in the sale of its assets to a publicly traded REIT.

Alan has been awarded an AV® peer rating in Martindale-Hubbell, which reflects his expertise, experience, integrity and overall professional excellence. He was ranked by his peers as one of the state’s Top Lawyers in the Corporate Law category by Business New Hampshire magazine from 2002-2007. He was quoted in New Hampshire Leaders for the 21st Century (February 2000) addressing how legal professionals balance increased productivity demands and opportunities for personal growth and family commitments. Alan has continually been recognized by his peers in Chambers USA – America’s Leading Business Lawyers, as the “dean of the corporate bar,” bringing “innovative approaches to complicated corporate problems,” and in The Best Lawyers in America. He was recently named a New England Super Lawyer in the area of corporate law.
Memberships and Admissions
Alan is a member of the New Hampshire and American Bar Associations, as well as a member of the American Bar Association's Sections on Business Law and International Law. He also is a member of the Continuing Legal Education Committee and the Professionalism Committee of the New Hampshire Bar Association, and its International Law and Corporations and Banking Law Sections. Alan also serves as chairperson of and/or holds membership in numerous continuing legal education panels on corporate law, securities and related topics. He is admitted to practice in New Hampshire and before the United States District Court and the United States Tax Court.
Community Involvement
Alan sits on the Board of Directors of the New Hampshire International Trade Association. He frequently speaks as a guest lecturer on cross-cultural negotiations at Franklin Pierce Law Center. From 1990-1995, Alan was a Bar Examiner for the State of New Hampshire. He also served as a member of the Business and Industry Association’s Special Subcommittee on Corporations and Securities Law Revision; and presently serves as Vice-Chair and a member of the Board of Directors and Executive Committee of the Workforce Opportunity Council; and as a member of the Governor’s Advisory Committee on Capital Formation. For three years, he served as President and Director of the Court Appointed Special Advocates of NH, Inc. He is also a member of the New Hampshire Community Loan Fund - Vested for Growth Committee, a micro-capital fund for companies dedicated to open book management.
